Appnix Technologies Terms & Conditions

Acceptance of Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between Appnix Technologies (“Appnix”, “we”, “us”, or “our”) and the business, entity, or individual (“Client”, “Customer”, or “you”) accessing or using our software platform accessible via https://www.appnix.co.in (the “Platform” or “Services”).

Acceptance Notice:

By creating an account, connecting a messaging channel, or using the platform, you agree to be bound by these Terms, as well as our Privacy Policy and Data Deletion Instructions.

Description of Platform & Services

Appnix Technologies provides a software platform that helps businesses manage customer communication through WhatsApp. Clients connect their own WhatsApp Business accounts to the platform and use it to communicate with their customers, manage conversations, and organize customer interactions. Platform Data is used only to provide these communication and management features to the respective client.

Platform capabilities may include a unified team inbox, messaging campaigns, visual workflow builders, CRM contact organization, and template synchronization with supported messaging channels.

Account Registration & Responsibilities

  • Business Representation: You represent that you register on behalf of a valid commercial entity or business, and possess authority to agree to these Terms.
  • Accurate Information: You agree to provide accurate and current registration details and update them as necessary.
  • Credential Security: You are responsible for safeguarding your login credentials and API tokens. You must notify us promptly of any unauthorized access.
  • Account Activity: The Client is responsible for communications and actions performed through its workspace account.

WhatsApp & Meta Platform Compliance

Meta & WhatsApp Policy Compliance

When connecting WhatsApp Business Accounts or Meta messaging channels, Clients must comply with applicable upstream platform policies:

Opt-in Requirement: Clients must obtain prior consent from end-users before transmitting proactive business or marketing template messages over WhatsApp.

Upstream Platform Decisions: Meta Platforms, Inc. independently determines template approvals, phone number tiering, and account quality limits. Appnix does not control or guarantee template approvals or upstream platform enforcement decisions.

Acceptable Use & Anti-Spam Policy

You agree to use our Services only for lawful business communication and customer support.

Opt-Out Requests

You must honor end-user unsubscribe or opt-out requests (such as “STOP”) promptly and refrain from messaging opted-out contacts.

Sender Identity

You must accurately identify your business in all communications and never mislead recipients.

Prohibited Activities

Clients and users shall not:

  • Send unsolicited marketing messages to purchased or scraped contact lists.
  • Distribute fraudulent offers, deceptive content, malware, or products prohibited by WhatsApp Commerce Policy.
  • Reverse engineer, decompile, or attempt to derive the source code of the platform.
  • Circumvent security controls or intentionally overload system resources.
  • Resell or redistribute access to the platform unless authorized under applicable agreements.

Customer Content & Ownership

Customers retain ownership of Customer Content to the extent they own it.

You grant Appnix a limited license solely to host, transmit, and display your Customer Content to the extent necessary to operate the platform on your behalf.

Intellectual Property Rights

The Appnix platform, including software code, interfaces, workflows, trademarks, and documentation, is the property of Appnix Technologies. Nothing in these Terms grants the Client ownership in Appnix intellectual property.

Third-Party Services & Upstream APIs

The Platform integrates with third-party service providers (such as Meta Platforms, Brevo, and cloud hosting infrastructure). Appnix Technologies is not responsible for disruptions, rate-limiting, or policy changes originating from independent third-party platforms.

Service Availability & Maintenance

We work to maintain platform availability. However, the Platform is provided on an “AS IS” and “AS AVAILABLE” basis. Routine maintenance, infrastructure updates, or network events may occasionally cause brief downtime.

Fees & Payment Terms

  • Plan Pricing: Subscription plans and pricing tiers may be offered based on feature sets, quotas, and service terms when made available.
  • Messaging Consumption: WhatsApp conversation charges and messaging fees may be billed directly by upstream providers (Meta) or charged under applicable service arrangements.
  • Taxes: Prices exclude applicable statutory taxes (such as GST), which are applied where legally required.

Cancellation & Refund Policy

Clients may cancel active subscriptions at any time through account settings or by contacting support. Subscription payments are non-refundable except where required by applicable law.

Suspension & Termination

Appnix Technologies may suspend or terminate account access if:

  • You violate WhatsApp Business Messaging Policies or platform terms.
  • You fail to settle applicable fees when due.
  • You engage in abusive or unlawful activity that harms system operations.

Disclaimer of Warranties

To the extent permitted by applicable law, the Platform and Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

In no event shall Appnix Technologies, its directors, or employees be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services. Our aggregate liability under these Terms shall not exceed the fees paid by you to Appnix Technologies in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Appnix Technologies from and against third-party claims, damages, liabilities, and expenses arising from: (i) your Customer Content or messaging campaigns, (ii) your violation of these Terms or applicable messaging platform policies, or (iii) customer complaints regarding lack of message consent.

Governing Law & Jurisdiction

Jurisdiction:

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of these Terms shall be subject to the jurisdiction of the competent courts in Gautam Buddha Nagar (Noida), Uttar Pradesh, India.

Modifications to Terms

We may update these Terms periodically. We will post revised Terms on this page with an updated “Last Updated” date. Continued use of the platform after changes become effective constitutes acceptance of the revised Terms.
